These Terms of Service (“Terms”) govern access to and use of the LUMORQ platform and related services. By creating an account or using the service, you agree to these Terms and our Privacy Policy.
Agreement
If you use LUMORQ on behalf of a company, you represent that you have authority to bind that company. “You” means the individual or entity using the service.
If you do not agree to these Terms, do not use the service.
The service
LUMORQ provides software to manage conversations, automate replies, route escalations, and connect to official Meta messaging APIs (WhatsApp Business, Instagram, Messenger) and optional integrations.
Features may change over time. We may add, modify, or discontinue features with reasonable notice where practicable.
Demo or beta features are provided as-is and may be limited or withdrawn.
Accounts & teams
You must provide accurate registration information and keep credentials secure.
You are responsible for all activity under your account and for actions of team members you invite.
Notify us promptly at {securityEmail} if you suspect unauthorized access.
Acceptable use
You agree not to misuse the platform. A summary of prohibited conduct appears below; the full Acceptable Use Policy is available at /acceptable-use.
We reserve the right to suspend or terminate accounts involved in spam, abusive automation, fraudulent activity, or violations of third-party platform policies.
- Send spam, bulk unsolicited messages, or content without proper consent.
- Use robocalling, telemarketing lists, or outbound voice except for transactional order confirmations you are authorized to place.
- Harass, defraud, phish, scam, or impersonate others.
- Attempt to bypass security, access other tenants’ data, or probe systems without authorization.
- Reverse engineer the service except where law expressly permits.
- Use the service in violation of applicable law, Meta, Twilio, or WhatsApp policies.
Meta & messaging compliance
Your use of Meta channels through LUMORQ must comply with Meta Platform Terms, Commerce Policies, and WhatsApp Business Policy as applicable.
You are solely responsible for obtaining lawful consent for messaging, providing required notices, honoring opt-out requests, and maintaining accurate business profiles.
We may suspend automation if we reasonably believe your use risks platform enforcement or harm to recipients.
Subscriptions & billing
Paid plans are billed in {pricingCurrency} according to the pricing shown at checkout. See our Refund Policy at /refunds for refund eligibility ({refundPolicySummary}).
Subscriptions renew automatically unless you cancel before the renewal date. You may cancel anytime via Workspace → Settings (Billing) or the Stripe customer portal; access continues until the end of the current billing period unless otherwise stated.
You authorize us and our payment processor (Stripe) to charge applicable fees. Card charges may appear as "{billingDescriptor}" on your statement.
Enterprise and custom agreements are billed separately and are excluded from standard self-serve refund terms unless stated in writing.
Usage limits (messages, seats, channels) apply per your plan. Overages may be charged or throttled as described in product documentation.
Intellectual property
We retain all rights in the platform, software, and branding. You receive a limited, non-exclusive, non-transferable license to use the service during your subscription.
You retain rights in your content. You grant us a license to host, process, and transmit your content solely to provide and improve the service.
Confidentiality
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for the permitted purpose, except as required by law.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-generated responses may contain inaccuracies and should be reviewed periodically by you. You are responsible for reviewing automated content before it reaches customers where your configuration requires it.
LUMORQ does not guarantee revenue growth, lead conversion, or uninterrupted AI accuracy.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE.
OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US IN THAT PERIOD (OR USD $100 IF YOU USE A FREE TIER).
Indemnification
You will defend and indemnify us against claims arising from your content, your messaging practices, or your breach of these Terms or Meta policies, except to the extent caused by our gross negligence or willful misconduct.
Termination
You may stop using the service and delete your account at any time via account settings.
We may suspend or terminate access for material breach, legal requirement, or risk to the platform. Upon termination, your license ends and we will handle data per our Privacy Policy.
Changes
We may update these Terms. We will post the revised Terms with an updated date. Material changes to paid customers may be notified by email where appropriate.
Governing law
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules, except where mandatory consumer protections in your country apply.
Disputes will be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by applicable law.
